I have a commercial property for sale. The sale is being coordinated by a sales lady who is familiar with this type of transaction and I plan to pay her commission if she is able to find a buyer. Does anyone know if it is legal for this person to act as a broker without a license? Sorry for my lack of knowledge on these type of things but I really have no clue and would appreciate any direction.

Does this sales lady work for a broker?
What do you mean by coordinated?
Have you listed the property with this agent?

You need to better and fully explain this situation before we can answer fully.

This person works in sales so she is knowledgeable about what it takes to connect with a buyer and complete a transaction. She is not connected with a broker and is not listing this business. Picture an example situation like this: She works in sales and sold me 50 arcade video games. After 6 months in the business I decided I want to sell. So she has contacts from people who are looking to get into the arcade business. We will sell my business completely including the long term lease. She is going to arrange for that sale and I plan to pay her 5% for her efforts.

Just wondering if this brings up any legal problems where she is representing me.

Since she is not an experienced Business Broker and is not a licensed real estate broker I would be concerned about possible liability in this situation. She may know arcade machines but all the pitfalls involved in selling a business with a longterm real estate lease. I am confident that it would not be a problem to locate individuals interested in buying your business.

Use a professional for your own protection. If you want to pay her a finders fee that is up to you but find yourself a professional to handle the sale.

I would use her as a consultant, but you are doing yourself an injustice by not using an experienced broker. Even if she is a qualified sales person in another field, she still can not legally represent you for compensation if she does not have a license. The only way she could represent you is if she had interest in the property as part owner or as an employee of your corporation who's responsibility is to sell the property.

I would consult with a few of the local commercial agents in your area before you commit to using your friend.
